Terms and Conditions (AGB)
General terms for business customers. Last updated: [Month Year]
1. Scope
These terms apply to all offers, orders and deliveries by [Your full legal name or company name] (“AmprintX”, “we”) to businesses, public bodies and self-employed customers acting in the course of their trade or profession (“customer”). We do not sell to consumers. Terms of the customer that differ from these terms only apply if we have agreed to them in writing.
2. Quotes and contract
Our quotes are valid for [e.g. 14] days unless stated otherwise. A contract is formed when we confirm the order in writing (email is enough) or begin production. Quotes are based on the details the customer gives us, such as products, quantities, sizes, colours and artwork. If these details change, the price may change too.
3. Artwork and approval
The customer provides logos and artwork in a suitable quality. We may send a digital preview for approval. Production starts after the customer approves it. The customer is responsible for the correctness of texts, spelling and colours that they have approved.
The customer confirms that they hold all rights needed to use the artwork, including trademark and copyright rights, and will release us from claims by third parties arising from its use. We may refuse artwork that is unlawful or infringes the rights of others.
4. Prices
Prices are in euros and exclude statutory VAT and shipping costs unless the quote says otherwise. Volume prices apply to the quantity stated in the quote.
5. Payment
We invoice the customer. Invoices are payable within [e.g. 14] days of the invoice date without deduction. [Optional: state when you require advance payment, e.g. for first orders or orders above a certain value] If the customer is late, statutory default interest applies.
6. Delivery
Delivery times in quotes and confirmations are estimates, unless we have expressly agreed a binding date in writing. The delivery time starts once the artwork is approved and any agreed advance payment has been received. We may deliver in reasonable partial shipments. Risk passes to the customer when we hand the goods to the carrier. If we expect a delay, for example because a supplier cannot deliver, we will tell the customer promptly.
7. Made-to-order goods
Our products are made to order. Because of this, the delivered quantity may differ from the ordered quantity by up to [e.g. 5%]. Slight differences in colour between a screen preview and the printed result, and between production batches, are normal and are not a defect. Size and measurement tolerances of the blank garments are those of the manufacturer.
8. Inspection and complaints
The customer must check the goods promptly after delivery. Obvious defects must be reported in writing within [e.g. 7] days of delivery, and hidden defects within [e.g. 7] days of discovery, with photos if possible. If the customer does not report a defect in time, the goods are treated as accepted, as set out in § 377 of the German Commercial Code (HGB), where it applies.
9. Defects, returns and cancellation
If the goods are defective, the statutory rights apply. We may choose to repair or replace them. Goods that were personalised for the customer cannot be returned or exchanged just because the customer changed their mind. The customer can cancel an order before production has started. If we have already bought materials or started production, we may charge the costs we have incurred.
10. Retention of title
The goods remain our property until we have received full payment.
11. Liability
We are fully liable for intent and gross negligence, for injury to life, body or health, under the Product Liability Act, and where we have given a guarantee. For slightly negligent breach of an essential contractual obligation, our liability is limited to the foreseeable damage typical for this kind of contract. We are not liable for slightly negligent breach of other obligations.
12. Data protection
How we handle personal data is described in our privacy policy.
13. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If the customer is a merchant, the place of jurisdiction is [e.g. Berlin]. If any provision is invalid, the remaining provisions stay in force.
